The Background

Central European Media Enterprises ("CME") asked CVL to undertake due diligence to determine the viability of acquiring a European search engine business ("the target"), with a view to leveraging its success in other European countries.

CVL undertook due diligence on the target in two specific areas; firstly, technical due diligence to identify whether the business fundamentals were sound and secondly, extensibility of the solution to meet proposed rollout to other European countries.

"CVL undertook a full technical due diligence on a central European search engine business for our company. The technology was the key reason for the purchase and so we needed feedback that was both very detailed and also understandable to a non-technical audience in a very short space of time. CVL provided excellent output from the work, were flexible in their approach and very easy to work with. We would be happy to recommend them and will be pursuing future opportunities to work with them."
Romana Tomosova, Director of Corporate Communications, CME.

The CVL Solution

CVL developed data requirements and pre-visit questions for the target before running a 3 day on-site workshop with key staff drawn from all levels.

CVL ensured regular liaison with CME to ratify requirements and ensure alignment with strategy, interfacing where necessary with other due diligence groups (legal and financial).

Finally, CVL presented the completed findings to CME within a detailed risk evaluation framework.

The Benefits

CVL was able to provide detailed technology understanding and support to the "non-IT" focused client.

The results were presented in simple non-technical terms - allowing the client to make a considered and fully-informed decision.

CVL offered a balanced impartial view of the maturity of the target, benchmarked against others in the industry.
